Confidentiality Agreement
PROPERTY DESCRIPTION: Orange County, NC P.I.N.#s 9880244842 (P/O Altemueller
P47/120), 9880246787 (W/S HWY 86 P47/120), & 9880248026 (W/S HWY 86). Land also
identified as Westminster Place in marketing material.
Documentation is being provided to you (the "Prospective Purchaser" or "Broker"), consisting of
various documents and materials relating to the Property. This information is intended solely for your
own limited use to determine whether you wish to make an offer to purchase the Property ("Property
Information").
The Property Information contains selected information pertaining to the Property. It does not purport to
be all-inclusive or to contain all of the information which a purchaser may desire. Neither the Owner, nor
any of the Owner's officers, directors, employees, representatives or agents, make any representation or
warranty, express or implied, as to the accuracy or completeness of this Property Information or any of its
contents, or to the quality or fitness of the Property and no legal liability is assumed or is implied by any
of the aforementioned parties with respect thereto. The Property Information has been prepared solely for
preliminary informational purposes to assist an interested recipient in determining whether to proceed
with an in-depth investigation of the Property. Any person or entity interested in purchasing the Property
shall rely only on his or its own due diligence and investigation of the Property. While the information
contained herein is from sources deemed reliable, it has not been independently verified or audited and is
provided subject to errors, omissions, change of status or prior sale.
Furthermore, neither the Property Information nor any other information provided, shall in any way be
construed as creating any warranties or representations, express or implied, as to the existence, nonexistence,
or nature of, asbestos or any other hazardous or toxic material, waste or substance in, under or
on the Property. No responsibility whatsoever is assumed by the Owner for the accuracy or completeness
of any information contained herein or hereinafter supplied, whether written or oral, relating to any such
hazardous material, waste or substance. A prospective purchaser is advised to obtain assistance from his
or its own professional consultants with respect to determining the presence of asbestos and/or other
hazardous substances prior to acquiring the Property.
By your receipt of the Property Information, you agree that the Property Information and the information
contained therein is of a confidential nature, and that you will hold and treat it in the strictest confidence,
and that you will not, directly or indirectly, disclose or permit anyone else to disclose the memorandum or
any part of its contents to any other person, firm or entity, including any lender or joint venturer, without
prior written authorization of the owner nor will you use or permit the memorandum or any part of the
contents to be used in any fashion or manner detrimental to the interest of the Owner.
Further, you represent, warrant and covenant that (i) your review and inspection of the Property
Information shall be solely to conduct due diligence on your behalf, and not as an agent, representative,
finder or broker of any undisclosed or other party ("Undisclosed Party"), for the purpose of determining
whether or not you shall submit an offer to purchase the Property or (ii) you are a Broker representing an
Undisclosed Party. In the event you are a Broker representing an Undisclosed Party, you are strictly
prohibited from disclosing any information provided in the Property Information to a prospective
purchaser without the prospective purchaser signing this Confidentiality Agreement prior to disclosure of
any Property Information and providing a true and correct copy of said executed Confidentiality
Agreement to Owner or Owner's Agent.
By your receipt of the Property Information, you agree at no time to make inquiry of or negotiate with any
person who has an ownership interest in the Property, the existing mortgagees, or with any Property
managers or with any employees of the Property or any tenants, without prior written authorization of
Owner or appropriate authorized representative of the Owner ("Agent").
Further, you shall not inspect the Property without prior written authorization of Owner or Owner's
Agent, it being understood that it will be disruptive to tenants and the businesses being conducted on the
Property unless each inspection is scheduled and organized by the Owner or Owner's Agent.
The Owner reserves the right to reject any or all proposals or expressions of interest in the Property and to
terminate discussion with any party at any time with or without notice for any reason whatsoever. Upon
request, recipient will promptly return the Property Information and any other materials received from the
Owner or Owner's Agent without retaining any copies thereof.
The Property Information shall not be deemed an indication of the state of affairs of the Property nor
constitute an indication that there has been no change in the business or affairs of the Property since the
date of preparation ofthis Agreement.
The information in the Property Information shall not be disclosed to any agent, consultant or third-party
unless they agree to execute and be bound by the terms of confidentiality to the same extent that
Prospective Purchaser or Broker is bound under the terms of this Agreement and such disclosures have
been previously approved by the Owner in writing.
This Agreement and its validity, construction, effect and performance shall be governed by the laws of the
State of North Carolina.
The Owner shall be entitled to injunctive relief against Prospective Purchaser or Broker for any violations
of this Confidentiality Agreement, without necessity of posting a bond and venue for any and all actions
arising under this Agreement shall be in the state and county in which the Property is located.
In the event of any dispute between the parties concerning any terms of this Agreement or any of the
performances required hereunder, the prevailing party shall be entitled to reasonable attorney's fees and
costs.
Photocopying or other duplication of any Property Information is prohibited.
